Terms of Service

1. Agreement to Terms

By downloading, installing, or using Stapl, you agree to be bound by these Terms of Service. If you do not agree, do not use Stapl.

These Terms form a legal agreement between you and twoplus11 LLC, a Missouri limited liability company ("we," "us," or "our").

2. The Application

Stapl is a macOS PDF toolkit that merges, splits, organizes, compresses, OCRs, protects, redacts, and otherwise edits PDF documents entirely on your own Mac. It is distributed from twoplus11.com/stapl.

3. License

Personal License (Free)

We grant you a free, non-exclusive, non-transferable, revocable license to install and use Stapl on your personal computers for non-commercial purposes. Personal use means use by an individual for personal, non-revenue-generating activities. The personal tier is the complete application — all tools, no locked features, trial timers, or watermarks.

Business License ($5 per computer, one-time)

If you use Stapl in connection with any business, employment, commercial, or revenue-generating activity, you must purchase a Business License for each computer on which Stapl is installed. A Business License covers one computer for the lifetime of the software. To purchase, use the “Get a Business License” option on the Stapl pricing page; payment is processed securely by Stripe and your license key is emailed to you immediately. Questions? Your license is personal and non-transferable. You may not transfer, sublicense, or assign it to another person or entity.

5. Third-Party Components

Stapl bundles PDFium and Tesseract as separate on-device engines used for page rendering and OCR. These and any other bundled open-source components are the property of their respective authors and are governed by their own licenses, the full texts of which ship inside the application. Nothing in these Terms limits your rights under those licenses.

6. Intellectual Property

Stapl, its design, original code, and all associated intellectual property rights — excluding the third-party components described above — are owned by twoplus11 LLC. These Terms do not transfer ownership of the application. All rights not expressly granted are reserved.

7. Updates and Availability

We may release updates to Stapl that add features, fix bugs, or change behavior. Updates are free for the lifetime of your license. We reserve the right to discontinue Stapl at any time without notice, though existing downloads will remain functional.

8. Disclaimer of Warranties

STAPL IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT STAPL WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS. YOU ARE RESPONSIBLE FOR KEEPING BACKUPS OF YOUR DOCUMENTS.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TWOPLUS11 LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, LOSS OF PROFITS, OR LOSS OF GOODWILL. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF STAPL SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR YOUR LICENSE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) FIFTY DOLLARS ($50 USD).

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Missouri, United States, without regard to its conflict of law principles. Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Missouri.

11. Changes to These Terms

We may revise these Terms from time to time. We will update the "Effective date" at the top of this page. Your continued use of Stapl after any revision constitutes your acceptance of the updated Terms.
